Yesoid Conflict of Interest Policy

1. Purpose

The purpose of this policy is to ensure that all decisions made on behalf of Yesoid are taken in the best interests of the charity and that any actual, potential, or perceived conflicts of interest are properly identified, declared, and managed.

This policy supports transparency, accountability, and public trust in Yesoid’s governance.

2. Scope

This policy applies to:

  • Trustees

  • Staff

  • Volunteers and mentors

  • Anyone acting on behalf of Yesoid

All individuals covered by this policy have a responsibility to act in the charity’s best interests at all times.

3. Definition of a Conflict of Interest

A conflict of interest arises when an individual’s personal, professional, or financial interests could influence, or be perceived to influence, their decision-making on behalf of Yesoid.

Conflicts may be:

  • Actual – currently influencing decision-making

  • Potential – may influence decision-making in the future

  • Perceived – could be seen by others to influence decision-making

Examples include:

  • A trustee or close family member receiving payment or benefit from Yesoid

  • A trustee being involved in decisions affecting an organisation they are connected with

  • A volunteer or mentor having a personal relationship that could affect professional judgment

4. Declaration of Interests

All trustees must:

  • Complete a Declaration of Interests form on appointment

  • Update their declaration annually

  • Declare any conflict of interest as soon as it arises

Staff and volunteers must declare any relevant conflicts to the appropriate manager or safeguarding lead.

5. Register of Interests

Yesoid will maintain a Register of Interests, recording all declared conflicts.
This register will be reviewed regularly by the Trustees and updated as required.

6. Managing Conflicts of Interest

When a conflict of interest is identified:

  • The individual must declare the conflict

  • The conflict must be recorded in the meeting minutes or register

  • The individual must withdraw from discussions and decision-making relating to the matter

  • The individual must not vote on the matter

Where appropriate, the Trustees may seek independent advice to ensure decisions are made in the best interests of the charity.

7. Related Party Transactions

Any related party transactions must:

  • Be transparently declared

  • Be clearly in the best interests of Yesoid

  • Be approved by the Trustees in line with the governing document

  • Be recorded and disclosed in the charity’s accounts where required

8. Failure to Declare a Conflict

Failure to declare a conflict of interest may result in:

  • The decision being reviewed or overturned

  • Disciplinary action (where appropriate)

  • Further action in line with Yesoid’s governance procedures

9. Monitoring and Review

The Trustees are responsible for ensuring this policy is implemented and followed.

This policy will be:

  • Reviewed annually

  • Updated as required to reflect changes in legislation, guidance, or the charity’s activities
